1. Introduction
These Terms and Conditions ("Terms") govern your use of the services provided by Catalyst Learn Pte Ltd ("Catalyst Learn," "we," "our," or "us"), including our website, educational programmes, and related services.
By accessing our website, submitting an enquiry, enrolling in a programme, or otherwise using our services, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our services.
We reserve the right to modify these Terms at any time. Material changes will be communicated to enrolled learners via email. Your continued use of our services following any changes constitutes acceptance of the revised Terms.
2. Definitions
"Services" refers to educational programmes, courses, workshops, consulting sessions, materials, online resources, and any other services provided by Catalyst Learn.
"Programme" refers to any structured educational offering, including Introductory Exploration, Applied Skills Development, and Strategic Understanding.
"Learner," "you," or "your" refers to any individual who enquires about, enrols in, or participates in our Services.
"Materials" refers to all educational content, including written materials, presentations, code samples, datasets, recordings, and any other resources provided as part of our Services.
"Agreement" refers to these Terms together with any programme-specific terms provided at enrolment.
3. Use of Services
3.1 Eligibility
Our Services are available to individuals who are at least 18 years of age and have the legal capacity to enter into binding agreements. By enrolling, you confirm that you meet these requirements.
3.2 Account Responsibilities
If you create an account or receive login credentials for our online resources, you are responsible for maintaining the confidentiality of your credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorised use.
3.3 Accuracy of Information
You agree to provide accurate, current, and complete information when enrolling and to update this information as necessary. We rely on the information you provide to deliver our Services effectively.
3.4 Permitted Use
Our Services are provided for your personal educational purposes. You may use the knowledge and skills gained for professional advancement, but the Materials themselves remain subject to our intellectual property rights.
4. Prohibited Uses
You agree not to:
Use our Services for any unlawful purpose or in violation of any applicable laws or regulations in Singapore or your jurisdiction.
Copy, reproduce, distribute, transmit, display, sell, license, or otherwise exploit our Materials without our prior written consent, except as expressly permitted for personal educational use.
Share your account credentials or programme access with others, or allow others to attend sessions under your enrolment.
Record, screenshot, or capture programme sessions, materials, or discussions without explicit permission from instructors and all participants.
Engage in any conduct that disrupts the learning environment or negatively impacts other learners' experiences.
Misrepresent your identity, qualifications, or affiliation when interacting with us or other learners.
Use our Services to develop competing educational products or services.
Attempt to gain unauthorised access to our systems, networks, or other learners' information.
Submit false claims for refunds or engage in fraudulent payment activities.
5. Intellectual Property
5.1 Our Ownership
All Materials, curriculum, teaching methods, branding, and other content provided by Catalyst Learn are owned by us or our licensors and are protected by intellectual property laws. Nothing in these Terms transfers ownership of any intellectual property to you.
5.2 Limited License
Upon enrolment, we grant you a limited, non-exclusive, non-transferable license to access and use the Materials solely for your personal educational purposes during and after the programme period. This license does not include the right to reproduce, distribute, or create derivative works.
5.3 Your Content
You retain ownership of original work you create during our programmes, such as project submissions and portfolio pieces. However, you grant us a non-exclusive license to use anonymised versions of your work for educational purposes, programme improvement, and marketing, unless you specifically request otherwise.
5.4 Feedback
Any feedback, suggestions, or ideas you provide about our Services becomes our property, and we may use such feedback without restriction or compensation to you.
6. Payment Terms
6.1 Fees
Programme fees are stated in Singapore Dollars (SGD) and are as published on our website or communicated at the time of enrolment. Fees are subject to change, but changes will not affect confirmed enrolments.
6.2 Payment Timing
Full payment is required before the programme start date unless an instalment arrangement has been agreed in writing. For instalment plans, payments must be made according to the agreed schedule to maintain programme access.
6.3 Payment Methods
We accept payment via bank transfer, credit card, and other methods specified at the time of enrolment. Payment processing is handled by secure third-party providers.
6.4 Taxes
Fees are inclusive of applicable Singapore Goods and Services Tax (GST) where required. You are responsible for any additional taxes applicable in your jurisdiction.
6.5 Late Payment
For instalment plans, failure to make payments when due may result in suspension of programme access until payment is received. Persistent non-payment may result in termination of your enrolment without refund of amounts already paid.
7. Refund Policy
7.1 Withdrawal Before Programme Start
If you withdraw more than 14 days before your programme start date, you will receive a full refund minus a SGD 50 administrative fee. Withdrawals within 14 days of the start date will receive a 50% refund.
7.2 Withdrawal After Programme Start
If you withdraw within the first week of the programme, you may be eligible for a partial refund at our discretion, following a discussion about your concerns. After the first week, no refunds are available, though you may be eligible to transfer to a future cohort.
7.3 Programme Cancellation by Us
If we cancel a programme before it begins, you will receive a full refund. If we must discontinue a programme after it has started due to circumstances beyond our control, you will receive a pro-rata refund for sessions not delivered.
7.4 Non-Refundable Items
Materials provided before withdrawal, individual consulting sessions already delivered, and any third-party resources purchased on your behalf are non-refundable.
7.5 Processing Time
Approved refunds will be processed within 14 business days to your original payment method. Bank processing times may add additional days before funds appear in your account.
8. Disclaimers and Limitations
8.1 Educational Nature
Our Services are educational in nature. While we strive to provide current, accurate, and practical content, we do not warrant that completing our programmes will result in specific career outcomes, job placement, or professional advancement.
8.2 No Professional Advice
Content provided in our programmes is for educational purposes only and does not constitute professional, legal, financial, or technical advice. You should consult qualified professionals for specific advice related to your circumstances.
8.3 Service Availability
We provide our Services on an "as is" and "as available" basis. While we endeavour to maintain uninterrupted access to online resources, we do not guarantee continuous availability and are not liable for interruptions.
8.4 Limitation of Liability
To the maximum extent permitted by Singapore law, Catalyst Learn's total liability for any claims arising from these Terms or your use of our Services shall not exceed the fees you paid for the specific programme giving rise to the claim. We shall not be liable for any indirect, incidental, consequential, or punitive damages.
8.5 Force Majeure
We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to natural disasters, government actions, pandemics, infrastructure failures, or civil unrest.
9. Termination
9.1 Termination by You
You may terminate your enrolment at any time by notifying us in writing. Refund entitlements, if any, will be determined according to our Refund Policy.
9.2 Termination by Us
We may terminate your enrolment and access to Services immediately if you breach these Terms, engage in prohibited conduct, fail to make required payments, or if continuing to provide Services to you would expose us to legal risk.
9.3 Effects of Termination
Upon termination, your access to programme sessions and online resources will cease. Any provisions of these Terms that by their nature should survive termination shall continue in effect, including intellectual property rights, limitation of liability, and dispute resolution provisions.
10. Dispute Resolution
10.1 Informal Resolution
Before initiating formal proceedings, you agree to contact us first to attempt to resolve any dispute informally. Many concerns can be addressed through direct communication with our team.
10.2 Mediation
If informal resolution is unsuccessful, either party may propose mediation through an agreed mediator or through the Singapore Mediation Centre. Both parties shall participate in good faith in any mediation process.
10.3 Governing Law
These Terms shall be governed by and construed in accordance with the laws of Singapore, without regard to conflict of law principles.
10.4 Jurisdiction
Any disputes arising from these Terms that cannot be resolved through informal resolution or mediation shall be subject to the exclusive jurisdiction of the courts of Singapore.
11. General Provisions
Entire Agreement: These Terms, together with our Privacy Policy and any programme-specific terms, constitute the entire agreement between you and Catalyst Learn regarding the subject matter hereof.
Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
No Waiver: Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
Assignment: You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights and obligations without restriction.
